The following policies form part of these Terms. By accepting these Terms you also accept each of them:
1. Introduction
These Terms of Service ("Terms") govern the access to and use of the Partzile SMS Platform ("Platform"), operated by Partzile (Pvt) Ltd ("Partzile", "we", "our", or "us").
By registering for, accessing, installing, or using Partzile SMS, you ("Client", "Subscriber", "User", or "Organization") agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Platform.
2. Definitions
For purposes of these Terms:
Platform means the Partzile SMS cloud-based stock management, inventory control, point-of-sale, analytics, reporting, and business management software.
Tenant means a business entity registered on the Platform.
Branch means any physical or virtual location operated by the Client and registered within the Platform.
Subscription means the paid licence granting access to the Platform.
User Account means any administrator, manager, employee, cashier, auditor, or other account created under a Client's subscription.
Marketplace Services means any inventory advertising, product visibility, supplier visibility, marketing, customer engagement, or public listing features made available by Partzile.
3. Nature of Service
Partzile SMS is provided as a Software-as-a-Service (SaaS) platform.
The Platform may include:
- Inventory management
- Multi-branch stock control
- Point of Sale (POS)
- Purchase management
- Supplier management
- Customer management
- Profitability analysis
- AI-assisted analytics
- Reporting dashboards
- Marketing tools
- Product visibility services
- Mobile applications
- Web applications
- Integrations with third-party services
- Future enhancements introduced by Partzile
Partzile may modify, improve, replace, discontinue, or introduce features without prior notice.
4. Subscription and Licensing
4.1 Licence Grant
Partzile grants the Client a limited, non-exclusive, non-transferable, revocable licence to use the Platform during an active subscription period.
The licence does not transfer ownership of the software.
4.2 Branch-Based Licensing
Subscriptions may be charged:
- Per branch
- Per organization
- Per user
- Per transaction volume
- Per storage allocation
- Per feature set
at Partzile's discretion.
4.3 Subscription Tiers
Features available to a Client shall depend on the subscription package selected.
Partzile reserves the right to alter subscription packages, pricing, storage limits, feature allocations, and usage limits.
5. Subscription Payments
5.1 Fees
Clients agree to pay all applicable subscription fees.
Fees may include:
- Setup fees
- Monthly fees
- Quarterly fees
- Annual fees
- Additional branch fees
- SMS charges
- API charges
- Marketplace fees
- Advertising fees
5.2 Payment Failure
Failure to make payment when due may result in:
- Suspension of services
- Restricted functionality
- Read-only access
- Account locking
- Removal of public listings
- Permanent account deactivation
without liability to Partzile.
5.3 Price Changes
Partzile may revise subscription fees at any time upon reasonable notice.
Continued use after such changes constitutes acceptance.
6. Licence Expiry and Account Locking
Upon licence expiry:
Stage 1: Grace Period — The Client may retain limited read-only access for a period determined by Partzile.
Stage 2: Restricted Access — The Client may lose access to:
- Data entry
- Editing
- Sales processing
- Reporting updates
- Synchronization services
Stage 3: Suspension — Partzile may suspend the account entirely.
Stage 4: Data Removal — If the subscription remains unpaid for an extended period determined by Partzile, Partzile may archive, anonymize, or permanently delete data.
Clients are responsible for maintaining their own backups.
7. Client Responsibilities
The Client agrees to:
- Maintain accurate business records.
- Protect account credentials.
- Restrict unauthorized access.
- Comply with applicable laws.
- Maintain internet connectivity where required.
- Verify reports before making business decisions.
The Client remains solely responsible for all activities performed using its accounts.
8. AI Features Disclaimer
Partzile SMS may provide AI-generated:
- Forecasts
- Recommendations
- Re-order suggestions
- Stock projections
- Business insights
- Profitability analyses
Such outputs are informational only.
Partzile does not guarantee:
- Accuracy
- Completeness
- Reliability
- Profitability outcomes
Clients must independently verify all AI-generated information before acting upon it.
9. Inventory and Financial Accuracy
The Platform assists with inventory and financial record keeping.
Partzile does not guarantee that:
- Stock balances are correct
- Accounting records are accurate
- Profit figures are accurate
- Tax calculations are accurate
Accuracy depends on information entered by users.
Clients remain solely responsible for:
- Inventory counts
- Tax compliance
- Financial reporting
- Audits
- Regulatory submissions
10. Public Marketplace and Product Visibility
Where enabled, Clients may elect to publish selected inventory information to public users.
Published information may include:
- Product names
- Product descriptions
- Product images
- Prices
- Supplier names
- Supplier contacts
- Business contact information
- Business location
- GPS coordinates
The Client warrants that it has authority to publish such information.
Partzile assumes no responsibility for:
- Pricing disputes
- Product quality disputes
- Supplier disputes
- Customer complaints
- Sales negotiations
- Product availability
Any transaction arising from marketplace visibility occurs directly between the Client and third parties.
11. User Conduct
Users shall not:
- Use the Platform unlawfully.
- Attempt unauthorized access.
- Reverse engineer the software.
- Copy source code.
- Interfere with system operations.
- Introduce malware.
- Circumvent licensing controls.
- Share login credentials without authorization.
- Resell access to the Platform.
Violations may result in immediate suspension.
12. Data Ownership
The Client retains ownership of business data entered into the Platform.
Partzile retains ownership of:
- Software
- Source code
- Databases
- Designs
- Trademarks
- AI models
- Algorithms
- Documentation
- Platform architecture
Nothing in these Terms transfers intellectual property rights to the Client.
13. Data Processing and Privacy
Partzile may collect and process:
- Business information
- User information
- Transaction information
- Device information
- Usage analytics
- Audit logs
for:
- Service delivery
- Security
- Billing
- Analytics
- Product improvement
- Legal compliance
A separate Privacy Policy forms part of these Terms.
14. Data Backups and Recovery
Partzile may perform routine backups.
However:
- Backups are not guaranteed.
- Restoration is not guaranteed.
- Specific historical records may not always be recoverable.
Clients should maintain independent backups of critical information.
15. Service Availability
Partzile aims for high service availability but does not guarantee uninterrupted access.
Services may be affected by:
- Internet outages
- Hosting failures
- Cybersecurity incidents
- Third-party failures
- Maintenance
- Force majeure events
Partzile shall not be liable for losses arising from downtime.
16. Third-Party Services
The Platform may integrate with:
- Payment gateways
- SMS providers
- WhatsApp services
- Email providers
- Accounting systems
- Cloud hosting providers
- AI providers
Partzile is not responsible for interruptions, errors, or failures caused by third-party providers.
17. Limitation of Liability
To the maximum extent permitted by law:
Partzile shall not be liable for:
- Loss of profits
- Loss of business
- Loss of customers
- Loss of goodwill
- Loss of opportunities
- Data loss
- Stock discrepancies
- Tax penalties
- Regulatory penalties
- Consequential damages
- Indirect damages
Whether arising from contract, negligence, tort, or otherwise.
Partzile's total liability shall never exceed the amount paid by the Client during the three (3) months immediately preceding the event giving rise to the claim.
18. Indemnity
The Client agrees to indemnify and hold harmless Partzile, its directors, employees, contractors, and affiliates against claims arising from:
- Client misconduct
- Data entered by the Client
- Marketplace transactions
- Regulatory breaches
- Tax disputes
- Employment disputes
- Customer disputes
- Intellectual property violations by the Client
19. Confidentiality
Both parties agree to maintain confidentiality regarding:
- Business information
- Trade secrets
- Financial information
- Technical information
except where disclosure is required by law.
20. Intellectual Property
All intellectual property rights in the Platform remain the exclusive property of Partzile.
Clients may not:
- Copy
- Modify
- Decompile
- Distribute
- Republish
- Create derivative works
without written consent.
21. Termination
Partzile may suspend or terminate access immediately where:
- Fees remain unpaid.
- Fraud is suspected.
- Security risks exist.
- Illegal activity is detected.
- These Terms are breached.
Termination does not relieve the Client of outstanding payment obligations.
22. Force Majeure
Partzile shall not be liable for failure to perform obligations resulting from events beyond reasonable control including:
- Natural disasters
- War
- Civil unrest
- Government action
- Telecommunications failures
- Cyberattacks
- Power outages
23. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of Zimbabwe.
Any dispute shall first be referred to mediation.
Where mediation fails, disputes shall be submitted to the courts of Zimbabwe, which shall have exclusive jurisdiction.
24. Amendments
Partzile may amend these Terms from time to time.
Updated Terms shall become effective upon publication on the Platform or website.
Continued use of the Platform constitutes acceptance of the revised Terms.
